1. Introduction

Welcome to Reporting Ads! These Terms of Service ("Terms") govern your use of our advertising analytics platform and related services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Definitions

"Account" means a unique account created for you to access our Service.

"Affiliate" means an entity that controls, is controlled by, or is under common control with a party.

"Company" (referred to as "Reporting Ads," "we," "us," or "our") refers to Reporting Ads, a digital advertising analytics platform.

By accessing or using the Service, you agree to be bound by these Terms. If you represent an entity, you represent and warrant that you have the authority to bind that entity to these Terms. You also represent and warrant that you are of legal age to form a binding contract with us and are not barred from using the Service under applicable law.

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

5. User Accounts

6. Subscription and Payment

  • You will pay all fees and applicable taxes incurred by you or anyone using your account

We may change our subscription fees upon thirty (30) days' prior written notice to you. If you do not wish to pay the new fees, you may terminate your subscription before the new fees take effect.

7. Third-Party Integrations

The Service may integrate with or allow you to connect to third-party platforms including but not limited to Facebook, Instagram, Google Ads, TikTok, Twitter, LinkedIn, and Pinterest. By connecting these platforms to our Service, you authorize us to:

  • Access data from these platforms as permitted by your settings
  • Store and process this data in accordance with our Privacy Policy
  • Use this data to provide and improve our Service

You are responsible for complying with the terms of service of any third-party platforms you connect to our Service. We are not responsible for the content, policies, or practices of any third-party platforms.

By using our Service with Facebook or Meta platforms, you acknowledge that you are subject to Meta's Platform Terms and that you have implemented the required data deletion callback as specified in Meta's requirements.

8. Data Deletion Requirements

In accordance with Meta's Platform Terms, you understand and agree that:

  • Users have the right to request deletion of their data
  • You must provide a clear mechanism for users to request data deletion as described in our Privacy Policy
  • If you are a developer using our platform, you must implement a data deletion request callback that complies with Meta's requirements
  • The data deletion callback must respond with a JSON object containing a URL and confirmation code as specified in Meta's documentation

Failure to comply with data deletion requirements may result in termination of your access to our Service and/or your connected third-party platforms.

9. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Reporting Ads and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Reporting Ads.

10. User Content

Our Service allows you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that you post to the Service.

By posting Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate and distribute your Content for the sole purpose of providing and improving the Service.

11. Prohibited Uses

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

  • In any way that violates any applicable federal, state, local, or international law or regulation
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
  • To impersonate or attempt to impersonate Reporting Ads, a Reporting Ads employee, another user, or any other person or entity
  • To engage in any automated use of the system, such as using scripts to send comments or messages
  • To interfere with or circumvent the security features of the Service

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. REPORTING ADS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

REPORTING ADS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REPORTING ADS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
  • ANY CONTENT OBTAINED FROM THE SERVICE
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF REPORTING ADS EXCEED THE AMOUNT YOU PAID TO REPORTING ADS FOR THE SERVICE IN THE PAST SIX MONTHS.

14. Indemnification

You agree to defend, indemnify, and hold harmless Reporting Ads and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

15. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

16. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
